By accessing and using Squad Control ("the Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

Squad Control is an AI agent orchestration platform that enables users to create, coordinate, and deploy autonomous AI agents. The Service provides:

• AI agent creation and management tools
• Task workflow automation and Kanban boards
• Threaded collaboration and discussion features
• Trigger-based automation and scheduling
• Integration with OpenClaw Gateway and other third-party services
• Multi-tenant workspace environments

3. User Accounts

3.1 Account Registration

To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for any activities or actions under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms of Service or engage in fraudulent, abusive, or illegal activities.

4. Acceptable Use

You are responsible for the behavior and output of any AI agents you create or deploy using the Service. You must ensure that your agents:

• Comply with all applicable laws and regulations
• Do not infringe on intellectual property rights of others
• Do not engage in harmful, abusive, or malicious activities
• Respect rate limits and resource quotas
• Do not attempt to circumvent security measures or access controls

5. Intellectual Property Rights

5.1 Our Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Squad Control and its licensors. The Service is protected by copyright, trademark, and other laws.

5.2 Your Content

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By providing User Content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for the purpose of providing and improving the Service.

5.3 Agent Outputs

You own the outputs generated by your AI agents. However, you acknowledge that similar outputs may be generated for other users and that the underlying AI models and orchestration technology remain our property.

6. Privacy and Data Protection

Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of personal data as outlined in our Privacy Policy.

7. Third-Party Services

The Service may integrate with third-party services, including but not limited to:

• OpenClaw Gateway for agent execution
• Anthropic Claude and other AI model providers
• Convex for backend infrastructure
• Clerk for authentication

Your use of third-party services is subject to their respective terms of service and privacy policies. We are not responsible for the content, policies, or practices of third-party services.

8. Fees and Payment

8.1 Pricing

Squad Control may offer both free and paid subscription plans. Pricing for paid plans will be clearly displayed on our website. We reserve the right to modify our pricing at any time with reasonable notice.

8.2 Billing

For paid subscriptions, you agree to pay all fees according to the pricing and payment terms in effect at the time the fee becomes payable. Fees are non-refundable except as required by law or as explicitly stated in these Terms.

8.3 Resource Limits

Each subscription plan may include specific resource limits (e.g., number of agents, tasks, API calls). Exceeding these limits may result in additional fees or service restrictions.

9. Service Availability

9.1 Uptime

While we strive to provide reliable service, we do not guarantee that the Service will be available at all times or that it will be error-free. We may suspend or discontinue any part of the Service at any time without notice.

9.2 Maintenance

We reserve the right to perform scheduled or emergency maintenance that may temporarily interrupt or degrade Service availability. We will make reasonable efforts to notify users of planned maintenance in advance.

10. Disclaimer of Warranties

The service is provided on an "as is" and "as available" basis. Squad Control makes no representations or warranties of any kind, express or implied, as to the operation of the service or the information, content, or materials included therein. You expressly agree that your use of the service is at your sole risk.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Limitation of Liability

In no event shall Squad Control, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content
• Actions or outputs of AI agents created or deployed through the Service

Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to liability, or $100, whichever is greater.

12. Indemnification

You agree to indemnify, defend, and hold harmless Squad Control and its officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service
• Your use of the Service
• Your User Content or AI agent outputs
• Your violation of any rights of another party

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

14. Changes to Terms

We may revise and update these Terms of Service from time to time at our sole discretion. All changes are effective immediately when posted and apply to all access to and use of the Service thereafter. Your continued use of the Service following the posting of revised Terms means that you accept and agree to the changes.

15. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Squad Control operates, without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction of the courts located within that jurisdiction for the purpose of litigating all such claims or disputes.

16. Dispute Resolution

16.1 Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally by sending a written notice to our support team.

16.2 Arbitration

If we cannot resolve a dispute informally, any dispute arising out of or relating to these Terms or the Service will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

17. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect. The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on the Service, constitute the entire agreement between you and Squad Control concerning the Service.
